These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Makor Digital, a subsidiary of Makor Holdings ("Makor Digital," "we," "us," or "our"), governing your use of our website and social media marketing services.
By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our website or use our services.

Service fees are specified in individual proposals or service agreements. All fees are in USD or LKR as agreed and are exclusive of applicable taxes unless otherwise stated.

Invoices are due within 7 days of issuance. Late payments may incur a fee of 2% per month and may result in service suspension until payment is received.
Monthly retainer fees are non-refundable. For project-based work, refunds are provided only for undelivered services as outlined in your service agreement.
You retain all rights to materials you provide to us (logos, brand assets, etc.). By providing these materials, you grant us a license to use them for the purposes of delivering our services.
Upon full payment, you receive full rights to content created specifically for you (social media posts, graphics, videos). We retain the right to showcase this work in our portfolio unless otherwise agreed.
All strategies, processes, methodologies, and tools developed by Makor Digital remain our intellectual property.
Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, financial information, and other sensitive data.
Confidential information does not include information that:
Services commence on the date specified in your service agreement and continue for the agreed term (typically monthly, quarterly, or annually).
You may terminate services with 30 days' written notice. You remain responsible for payment through the notice period. Early termination does not entitle you to refunds for paid periods.
We may terminate services immediately if you:
Upon termination, we will provide you with final reports and transfer ownership of created content. Access to our client portal and ongoing support will cease.
We warrant that services will be performed professionally and in accordance with industry standards. We will make reasonable efforts to achieve agreed-upon objectives.
Social media marketing results depend on many factors beyond our control. We do not guarantee specific outcomes such as follower growth, engagement rates, or sales conversions.
Social media platforms (Facebook, Instagram, LinkedIn) may change their algorithms, policies, or features at any time. We are not liable for performance impacts resulting from platform changes.
To the maximum extent permitted by law:

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our client portal. Continued use of our services after changes constitutes acceptance of the modified Terms.
These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles.
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in Colombo, Sri Lanka.
These Terms, together with any service agreements, constitute the entire agreement between you and Makor Digital.
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
You may not assign these Terms without our written consent. We may assign these Terms to Makor Holdings or any affiliated entity.
